曹德旺没有退缩。据后来披露的应诉细节，福耀成立了反倾销小组，曹晖负责在美国一线联系律师，黄中胜在国内准备应诉材料，小组吃住在办公室，整理的应诉资料堆起来有半吨重[s14]。曹晖时年三十岁出头，常驻北美，既要协调美国律师团队，又要对接国内调取的十年生产数据与成本审计材料。加拿大案最先出现转机：应诉团队发现一个致命破绽——申诉方PPG在加拿大销售的汽车玻璃实际在美国生产，这意味着PPG与福耀一样都是对加拿大的出口商，从法律上没有资格指控福耀倾销。2002年8月6日加拿大国际贸易法庭听证会上，福耀律师当庭质问：“请问加拿大是主权国家还是美国的一个州？”[s14] 2002年8月30日，加拿大国际贸易法庭终裁：来自中国的汽车玻璃在加拿大销售不构成实质损害或损害威胁，PPG申诉被驳回。中国入世后反倾销第一案，以福耀领导的中国企业在三个抗辩点全部胜诉告终[s11][s12][s15]。
美国案则是一场更长的拉锯。初裁后一同被诉的中国企业大多放弃上诉，福耀选择硬打。2003年，福耀向美国国际贸易法院提起诉讼，质疑商务部裁定[s13]。2004年5月，美国商务部行政复审初裁将福耀倾销税率由11.8%大幅降至0.13%，同年10月终裁维持；2006年，商务部向国际贸易法院提交重审裁定，福耀倾销幅度修改为0%；2007年5月，美国国际贸易法院正式裁定福耀倾销幅度为0%[s13]。福耀由此成为第一家状告美国商务部并赢得胜利的中国企业[s6][s14]。
这场战役的意义远超税率本身。它让北美市场第一次认识到，中国企业会用、也敢用当地的法律规则维护自己；它为整个中国汽车玻璃行业在北美的发展扫清了障碍，也让福耀管理层完成了一次关于“规则丛林”的实战学习——后来曹德旺总结，企业出海“不断学习”，才能在别人制定的规则里突围[s12]。对曹晖个人而言，这是他在集团内部威望的奠基之战。海报新闻援引他的回忆说，三十年商海搏击，令他印象最深刻的标志性“战役”，就是代表福耀全程参加了完胜美国反倾销的诉讼[s6]。
更深的影响在于战略认知。反倾销让福耀彻底想明白一件事：单纯从国内出口、靠成本取胜的模式走不远，必须到市场所在地去建厂、就地造就地卖。这一判断直接埋下了十年后福耀大规模投资美国的伏笔[s13]。曹晖在北美一驻十三年，把绿榕和福耀北美从贸易公司带成具备本土经营能力的桥头堡，也让他成为福耀内部最懂美国的人——当2013年公司决策在俄亥俄建厂时，他是少数同时理解玻璃、理解美国、理解规则的人[s1][s16]。
这场鏖战的细节，至今仍是中国企业出海的教科书案例。据应诉团队成员、代理律师杨晨后来回忆，加拿大案之所以能成为“入世第一案”的完胜，关键在于策略选择：应诉企业没有停留在喊冤，而是依据当地法律反守为攻——先是抓住申请方之一的LAMIVER公司担忧卷入反垄断诉讼而撤诉，再确定争取市场经济地位的应诉策略，并促成加方来华实地核查；最终中国企业在“无倾销、无损害、无因果关系”三个抗辩点上全部胜诉，为所有中国汽车挡风玻璃企业在加拿大市场争取到零关税[s12]。美国案中，福耀更是破天荒地把美国商务部告上国际贸易法院，用美方的司法程序挑战美方的行政裁决——这种“在规则里打规则”的打法，在二十年前的中国企业中极为罕见[s13][s14]。
对曹晖个人而言，这是一次脱胎换骨。三十岁出头的他，要在美国律师事务所的会议室里逐页核对成本数据，要在商务部调查官员的听证中回答关于价格、补贴、原材料采购的连串质询，还要随时与福清总部协调国内资料——应诉小组整理的资料重达半吨，堆满房间，有时为了一个数据顶风冒雨连夜赶回办公室[s14]。他后来很少对人谈及这段经历的艰辛，只在内部回忆时把它列为三十年商海中“印象最深刻的标志性战役”[s6]。但正是这场仗，让福耀上下对这位“少东家”彻底服气：老板的儿子可以留在总部享福，他却选择在异国法庭上替公司争命。
胜诉带来的市场回报立竿见影。零税率之后，福耀汽车玻璃在北美的渠道全面打开，公司从维修市场（AM）加速切入整车配套市场（OEM），2002年与现代汽车签订第一份配套销售协议，随后陆续进入通用、福特、本田、丰田等车企的供应链[s13][s16]。曹晖在北美搭建的销售与法务网络，成为福耀日后在美国建厂、本地化经营最可依赖的组织资源。某种意义上，2014年代顿工厂那片土地的地基，早在2001年那场反倾销的法庭上就已经开始打了。

**English:** Cao Hui's true battle of renown inside Fuyao took place in North America. The official resume records that from July 1996 to December 2009 he served successively as finance director and general manager of Greenville Glass Industries Inc. in the United States, and from August 2001 to December 2009 as general manager of Fuyao North America Glass Industry Co., Ltd., responsible for developing the North American market and "leading the team in handling China's first anti-dumping case after WTO accession—and winning it."[s39][s1]

The background to the litigation was Fuyao's export model colliding with trade barriers. In the late 1990s, Fuyao's automotive glass was exported in large volumes to the North American aftermarket (the AM market), and around 2000 exports grew at high speed, quickly drawing fire from the entrenched American giants. In 2001, the U.S. Department of Commerce and the U.S. International Trade Commission launched an anti-dumping investigation into replacement automotive windshields exported from China to the United States.[s13] In February 2002 the Commerce Department issued a final determination setting Fuyao's dumping duty at 11.8% and the rate for five other Chinese companies at 8.22%; from the ruling's entry into force, every sheet of glass Fuyao sold in the United States carried an added anti-dumping levy.[s14][s13] Almost in parallel, on December 18, 2001, acting on a complaint by PPG Canada, the Canada Customs and Revenue Agency opened an anti-dumping investigation into replacement windshields from China, involving four companies—Fujian Fuyao, Shenzhen Benxun, Shenzhen Xinyi and Dongguan Gangwan—with affected exports worth roughly US$18 million.[s15][s12] This became the first anti-dumping case faced by China after it joined the World Trade Organization in December 2001.[s11]

Cao Dewang did not flinch. According to defense details later disclosed, Fuyao set up an anti-dumping task force, with Cao Hui handling contact with lawyers on the American front line and Huang Zhongsheng preparing the defense materials at home; the team ate and slept in the office, and the case documents they compiled weighed half a tonne when stacked.[s14] Cao Hui, then in his early thirties and permanently stationed in North America, had both to coordinate the American legal team and to liaise with the ten years of production data and cost-audit material drawn from headquarters. The Canadian case produced a breakthrough first: the defense team spotted a fatal flaw—the automotive glass PPG sold in Canada was actually produced in the United States, which meant that PPG, like Fuyao, was an exporter to Canada and legally had no standing to accuse Fuyao of dumping. At the Canadian International Trade Tribunal hearing on August 6, 2002, Fuyao's counsel demanded from the bench: "May I ask whether Canada is a sovereign nation or a state of the United States?"[s14] On August 30, 2002, the tribunal gave its final ruling: the sale in Canada of automotive glass from China caused no material injury or threat of injury, and PPG's complaint was dismissed. China's first anti-dumping case after WTO accession ended with the Chinese companies led by Fuyao prevailing on all three points of defense.[s11][s12][s15]

The American case was a longer tug-of-war. After the preliminary ruling, most of the Chinese companies named alongside Fuyao abandoned the appeal; Fuyao chose to fight. In 2003 it filed suit at the U.S. Court of International Trade, challenging the Commerce Department's determination.[s13] In May 2004 the Commerce Department's administrative-review preliminary ruling cut Fuyao's dumping duty sharply from 11.8% to 0.13%, and the October final ruling that year upheld it; in 2006 the department submitted a redetermination to the Court of International Trade revising Fuyao's dumping margin to zero; and in May 2007 the Court of International Trade formally ruled Fuyao's dumping margin to be zero.[s13] Fuyao thus became the first Chinese company to sue the U.S. Department of Commerce and win.[s6][s14]

The significance of the campaign far exceeded the duty rate itself. It taught the North American market for the first time that Chinese companies could use—and dared to use—the local legal rules to defend themselves; it cleared the way for the entire Chinese automotive-glass industry's development in North America; and it gave Fuyao's management a hard-won practical education in the "jungle of rules"—as Cao Dewang later summed up, an enterprise going abroad must "keep learning" in order to break out within rules written by others.[s12] For Cao Hui personally, this was the battle that laid the foundation of his authority within the group. Haibao News quoted his recollection that, of thirty years in business, the landmark "battle" that had left the deepest impression was representing Fuyao through the entire anti-dumping litigation in the United States—and winning it outright.[s6]

The deeper impact lay in strategic cognition. The anti-dumping war brought Fuyao to an unshakable conclusion: the model of simply exporting from China and winning on cost could not go far; the company had to build factories in the markets themselves, making and selling locally. That judgment directly seeded Fuyao's large-scale investment in the United States a decade later.[s13] Stationed in North America for thirteen years, Cao Hui turned Greenville and Fuyao North America from trading companies into bridgeheads with genuine local operating capability, and became the person inside Fuyao who understood America best; when the decision was made in 2013 to build a plant in Ohio, he was among the few who understood glass, America and the rules all at once.[s1][s16]

The details of this grueling fight remain a textbook case for Chinese enterprises going abroad. Yang Chen, a lawyer on the defense team, later recalled that the key to the Canadian case being a complete victory as the "first WTO-era case" was strategy: the defending companies did not stop at crying injustice but went over to the attack under local law—first exploiting the withdrawal of one of the petitioners, LAMIVER, which feared being drawn into an anti-monopoly suit, then settling on a defense strategy of seeking market-economy status and securing a Canadian on-site verification in China; in the end the Chinese companies prevailed on all three points of "no dumping, no injury, no causal link," winning zero tariffs in the Canadian market for every Chinese automotive-windshield maker.[s12] In the American case, Fuyao went so far as to sue the Department of Commerce itself at the Court of International Trade, using the American judicial process to challenge the American administrative ruling—a tactic of "fighting the rules within the rules" that was extraordinarily rare among Chinese companies twenty years ago.[s13][s14]

For Cao Hui personally, it was a transformation in his bones. In his early thirties, he had to check cost data page by page in the conference rooms of American law firms, field successive questions from Commerce Department investigators about pricing, subsidies and raw-material procurement, and coordinate at all hours with headquarters in Fuqing; the documents assembled by the defense team weighed half a tonne and filled entire rooms, and sometimes, for a single figure, he would brave wind and rain to hurry back to the office overnight.[s14] He rarely spoke of the hardship in later years, listing it in internal recollections only as the most memorable landmark battle of his thirty years in business.[s6] Yet it was this war that made all of Fuyao, top to bottom, accept the "young master" without reserve: the boss's son could have stayed at headquarters enjoying comfort, but he chose to fight for the company's life in a foreign courtroom.

The market reward of the victory was immediate. With the duty at zero, Fuyao's channels in North America opened across the board, and the company accelerated from the aftermarket (AM) into original-equipment supply (OEM), signing its first supply agreement with Hyundai Motor in 2002 and subsequently entering the supply chains of GM, Ford, Honda, Toyota and other automakers.[s13][s16] The sales and legal networks Cao Hui built in North America became the most dependable organizational resource for Fuyao's later factory building and localization in the United States. In a sense, the foundations for the ground at Dayton in 2014 were already being dug in the anti-dumping courtroom of 2001.

### 3. 总经理九年：研发体系、精益管理与“配角”定位 / Nine Years as General Manager: R&D Systems, Lean Management and the 'Supporting Player' Position

2006年9月，三十六岁的曹晖出任福耀玻璃总经理，一干就是近九年，直到2015年7月卸任[s3][s39]。这是福耀从国内龙头向全球巨头跃升的关键九年，也是曹晖把自己的管理方法刻进公司肌理的九年。
他的治理重心首先在研发。福耀官网的曹晖简介记载，其任总裁期间“主导研发创新，建成九大国家级科研平台，推进产线智能化升级，搭建系统化预算体系，完善精益管理体系”[s1]。九大国家级科研平台的落地，使福耀从一家依赖经验的制造企业，转变为具备系统研发能力的技术公司。在产品层面，福耀确立了五大研发方向——安全舒适、智能控制、节能环保、美观时尚、集成总成，汽车玻璃从单一的安全件，开始向隔音、隔热、调光、天线集成等功能件演进[s6]。他在公司内部推动精益生产管理模式，推行OA办公自动化，并实施Oracle ERP信息管理平台，把一家几万人的工厂装进统一的数据与预算体系里[s6]。
技术投入的成果以奖项的形式被确认。曹晖个人先后获得国家技术发明奖二等奖，获评国务院政府特殊津贴专家、福建省级高层次人才，以及“全国企事业知识产权管理先进工作者”等称号[s1][s39]。对一家以玻璃为主业的企业而言，国家技术发明奖是硬实力的背书。
这九年也是福耀全球化落子的九年。2013年，公司宣布在美国俄亥俄州建设工厂的计划；2014年，福耀收购通用汽车位于代顿莫瑞恩的废弃装配厂，同年7月又与美国PPG公司签订资产收购协议，收购其在伊利诺伊州芒山的两条浮法玻璃生产线，为代顿工厂供应原片玻璃[s17][s18][s21]。作为总经理，曹晖深度参与了美国项目的决策与推进——他在北美经营十余年的人脉、对美国劳工与法律环境的了解，正是这场史无前例的出海远征最需要的东西[s16][s5]。与此同时，福耀2015年在香港联交所挂牌，完成A+H两地上市，打通了国际资本市场通道[s40]。
在经营哲学上，曹晖与父亲形成了耐人寻味的分工。曹德旺是典型的实业报国型企业家，常把“负责任的企业家始终以国家强大、社会进步、人民富足为己任”挂在嘴边，风格强势、直觉驱动[s6]；曹晖则更注重技术创新与现代化管理，风格沉稳、相信制度与数据。《闽商》杂志引述的评价里，曹德旺说“一般的年轻人跟曹晖是不能相比的，第一他吃苦耐劳，第二非常敬业，对业务也很熟悉”[s5]。而在另一场合，曹德旺坦言父子之间的差别：“员工崇拜我，曹晖不崇拜，他做事情有自己的原则，有自己的思路，不盲从。”[s5] 这种“不盲从”，后来被证明是接班人最珍贵的品质。

数字可以勾勒这九年的跃升。2006年曹晖接任总经理时，福耀还主要是一家面向国内和售后市场的玻璃制造商；到2015年，福耀汽车玻璃的全球份额已快速攀升，海外收入占比大幅提高，产品从单片玻璃向总成、镀膜、功能化延伸[s13][s37]。他主导的系统化预算管理与Oracle ERP体系，把分散在全国各地工厂的生产、成本、库存纳入统一数字管道——这套“向管理要效益”的底子，与他二十年后在年报里提出的“数字福耀”遥相呼应，是同一种方法论在不同时代的延伸[s6][s23]。
研发上，他坚持把钱花在未来。福耀在这一时期建起九大国家级科研平台，围绕安全舒适、智能控制、节能环保、美观时尚、集成总成五大方向布局专利与工艺，汽车天线玻璃、镀膜隔热玻璃、大规格全景天窗等新产品陆续推出[s1][s6]。曹晖个人因技术贡献获国家技术发明奖二等奖，并于2012年获评高级经济师、2022年获评正高级工程师——在中国制造企业的二代中，既有实战又有技术职称背书者并不多见[s39]。他有一句话在公司内部流传甚广，大意是：面对新一轮科技革命和产业变革，必须抢抓机遇、加大创新力度，做大做强[s6]。
资本层面，这九年也完成了关键一跃。2015年，福耀玻璃在香港联交所挂牌上市，实现A+H两地资本布局，打通了国际融资通道，也为随后的美国建厂与全球扩张备足了弹药[s40]。也是在这九年里，福耀完成了从“中国玻璃大王”到“全球汽车玻璃供应商”的身份切换：全球主要车企的配套名单上，福耀开始与旭硝子（AGC）、圣戈班、板硝子等国际三巨头同列[s37]。当2015年曹晖选择离开总经理岗位时，他交出的是一家体系完整、技术成军、海外起势的福耀——这也是他敢于出去“白手起家”的底气所在。
2015年，就在外界普遍认为曹晖将顺理成章接任董事长时，他却作出了一个令所有人大跌眼镜的决定：辞去总经理职务，离开福耀，自己创业。福耀玻璃当时对外的说法是，他“希望专注于其他商业事务”[s7][s8]。九年总经理任期，以一种近乎“叛逃”的方式收尾。但后来的事态发展表明，这并非逃离，而是一场精心设计的自我证明。

**English:** In September 2006, at the age of thirty-six, Cao Hui became general manager of Fuyao Glass, a post he held for nearly nine years until he stepped down in July 2015.[s3][s39] These were the decisive nine years in Fuyao's leap from a domestic leader to a global giant, and the nine years in which Cao Hui engraved his own management methods into the company's tissue.

His governance priority was research and development. The Cao Hui biography on Fuyao's official website records that during his tenure as president he "led R&D and innovation, built nine national-level scientific-research platforms, pushed forward the intelligent upgrade of production lines, set up a systematic budgeting system, and perfected the lean-management system."[s1] The landing of the nine national-level R&D platforms transformed Fuyao from a manufacturer relying on experience into a technology company with systematic research capability. At the product level, Fuyao established five R&D directions—safety and comfort, intelligent control, energy saving and environmental protection, aesthetics and fashion, and integrated assemblies—and automotive glass began to evolve from a single safety part into functional components offering sound insulation, heat insulation, dimmability and antenna integration.[s6] Within the company he promoted the lean-production management model, rolled out office automation (OA) and implemented the Oracle ERP information-management platform, fitting a tens-of-thousands-strong workforce into a single unified data and budget system.[s6]

The fruits of this technology investment were acknowledged in the form of awards. Cao Hui personally received the second prize of the National Technological Invention Award, and was named a recipient of the State Council special government allowance, a Fujian provincial high-level talent, and an "advanced individual in national enterprise and public-institution intellectual-property management," among other titles.[s1][s39] For a company whose core business is glass, the National Technological Invention Award is a seal of hard technical power.

These nine years were also the nine years in which Fuyao placed its globalization pieces on the board. In 2013 the company announced plans to build a plant in Ohio; in 2014 it acquired General Motors' shuttered assembly plant in Moraine, Dayton, and in July that year signed an asset-purchase agreement with the American firm PPG, acquiring its two float-glass production lines in Mt. Zion, Illinois, to supply raw glass to the Dayton plant.[s17][s18][s21] As general manager, Cao Hui was deeply involved in the decision-making and advancement of the American project—the network of contacts he had built over more than a decade in North America and his grasp of the American labor and legal environment were precisely what this unprecedented overseas expedition required.[s16][s5] Meanwhile, Fuyao listed on the Hong Kong Stock Exchange in 2015, completing its A-plus-H dual listing and opening the channel to international capital markets.[s40]

In management philosophy, Cao Hui and his father formed a thought-provoking division of labor. Cao Dewang is a classic industry-serving-the-nation entrepreneur, fond of saying that "a responsible entrepreneur always takes the country's strength, social progress and the people's prosperity as his own mission," forceful in style and driven by intuition.[s6] Cao Hui, by contrast, lays greater stress on technological innovation and modern management; he is steady in style and trusts in systems and data. In an assessment quoted by Minshang (Fujian Business) magazine, Cao Dewang said: "Ordinary young men cannot be compared with Cao Hui—first, he is hardworking and can endure hardship; second, he is utterly dedicated and very familiar with the business."[s5] On another occasion he spoke candidly of the difference between father and son: "The employees worship me; Cao Hui does not. He does things by his own principles, follows his own line of thinking, and never follows blindly."[s5] This refusal to follow blindly would later prove to be the successor's most precious quality.

On the question of positioning, Cao Hui held firmly to Fuyao's allotted role. Years later, at a symposium with Zhang Jianyong, chairman of BAIC Group, he still stressed: "Fuyao holds firmly to its positioning as a 'supporting player serving the automotive industry,' continuously extending the industrial chain and independently conquering 'chokepoint' problems in raw materials, production equipment and beyond."[s5] That sentence distills Fuyao's strategic steadiness over decades: no chasing of fads, no unrelated diversification—doing the one thing, automotive glass, to the point of global leadership while diving deep up and down the chain, extending upward into silica sand, float glass and aluminum trim and downward into assemblies and the repair aftermarket. The budgeting system, lean system and R&D platforms Cao Hui built as general manager provided the organizational bedrock for this later "supporting-player deep cultivation."

Numbers can sketch the leap of these nine years. When Cao Hui took over as general manager in 2006, Fuyao was still principally a glassmaker serving the domestic and aftermarket; by 2015 its global share of automotive glass had climbed fast, the proportion of overseas revenue had risen sharply, and products had extended from single sheets of glass into assemblies, coatings and functionalization.[s13][s37] The systematic budget management and Oracle ERP system he led folded the production, cost and inventory data of plants scattered across the country into a single digital pipeline—this grounding of "asking management for efficiency" echoes, across twenty years, the "Digital Fuyao" he proposed in the annual report: the same methodology extended into a different age.[s6][s23]

In research, he insisted on spending money on the future. In this period Fuyao built its nine national-level R&D platforms, deploying patents and processes around the five directions of safety and comfort, intelligent control, energy saving and environmental protection, aesthetics and fashion, and integrated assemblies, and successively launched new products such as antenna glass, coated heat-insulating glass and large panoramic sunroofs.[s1][s6] Cao Hui personally received the second prize of the National Technological Invention Award for his technical contributions, was named a senior economist in 2012 and a professor-level senior engineer in 2022—among the second generation of Chinese manufacturing-enterprise heirs, those with both front-line battle experience and professional technical credentials are rare.[s39] One remark of his circulated widely within the company, to the effect that in the face of a new round of scientific and technological revolution and industrial transformation, one must seize opportunities, step up innovation, and grow bigger and stronger.[s6]

At the capital level, these nine years also saw a critical leap. In 2015 Fuyao Glass listed on the Hong Kong Stock Exchange, achieving an A-plus-H dual capital layout, opening the international financing channel and stocking ample ammunition for the American factory building and global expansion that followed.[s40] It was likewise within these nine years that Fuyao completed its identity switch from "China's glass king" to "global automotive-glass supplier": on the supply lists of the world's major automakers, Fuyao began to stand alongside the three international giants—AGC of Japan, Saint-Gobain of France and NSG/Pilkington.[s37] When Cao Hui chose to leave the general manager's post in 2015, what he handed over was a Fuyao with complete systems, a full-fledged technical force and rising overseas momentum—which was precisely the confidence behind his daring to go out and "start from scratch."

In 2015, when outside observers almost universally assumed Cao Hui would naturally succeed to the chairmanship, he made a decision that astonished everyone: he resigned as general manager, left Fuyao and struck out on his own. Fuyao Glass's public explanation at the time was that he "wished to focus on other business affairs."[s7][s8] The nine-year tenure as general manager ended in a fashion that looked almost like defection. But subsequent events would show that this was not an escape but a carefully engineered act of self-proof.

### 4. 出走与回归：三锋创业与长达七年的接班布局 / Departure and Return: The Sanfeng Venture and a Seven-Year Succession Layout

2015年7月，曹晖卸任福耀玻璃总经理，同年8月起改任副董事长[s39][s3]。当年11月16日，福建三锋控股集团有限公司成立，法定代表人曹晖，业务聚焦模具科技、设备制造、汽配开发、新材料应用与汽车玻璃配件服务，主攻方向是汽车维修后市场和高端汽车配件供应链[s8][s10][s36]。
“三锋”系列公司的出现，让外界第一次看清曹晖出走的逻辑。经济观察网2017年的调查报道援引福耀内部人士的话说：“小曹总的确在创业，创业领域更确切地说是在汽车维修后市场。”福耀主业是B2B模式，直接给整车厂配套；而维修后市场要直接面对零售和消费者，商业模式完全不同，行业鱼龙混杂，曹晖希望成立新公司去做这方面的尝试[s8]。换句话说，他不是去做另一个福耀，而是去补福耀不碰的那块版图。
为什么非要在接班前夕出走？曹德旺后来向《每日经济新闻》记者交了底：“因为我是白手起家的，曹晖之前也向我表示，希望自己也能白手起家，做出一番成绩后，再来接我的班。”曹晖的态度一度是“父亲你还年轻，等你不做了，我再来接班”[s7]。这其中有证明自己能力的强烈冲动——一个从十九岁起就被父亲安排好每一步的人，需要一次彻底脱离家族平台的考试。2018年6月，曹德旺对媒体明确表示，曹晖“从头到尾都同意接班”，“他之前只是想自己出去创业”[s7]。
三锋的成绩单相当扎实。福耀玻璃2016年年报显示，公司与福建三锋机械科技、福建三锋汽车饰件、福建三锋汽车服务等多家“三锋”系列公司存在关联交易，这些公司均由曹晖控制[s8]。据海报新闻披露，福耀玻璃2017年数据显示，三锋集团资产总额6.07亿元，年度营业收入7.29亿元，净利润5352.18万元[s6]。从2015年底创立到2017年，两年左右做到七亿级营收并稳定盈利，曹晖证明了自己离开“曹德旺儿子”这个标签也能成事。
但关联交易也成了接班路上的制度障碍。三锋与福耀主业高度协同，既是供应商又是客户，只要曹晖还在外经营三锋，他回归福耀执掌上市公司就难免利益输送之嫌。曹德旺的解法干脆利落：把三锋买回来。2018年6月26日，福耀玻璃公告，全资子公司福耀（香港）有限公司以2.24亿元收购三锋控股管理有限公司持有的福建三锋控股集团100%股权[s9][s10]。曹德旺当时向媒体解释得毫不掩饰：“这样做的话，曹晖接班的时候，就不会有麻烦，这是最重要的考虑。”[s6] 他还说，自己七十多岁了，要把这些关联关系清掉，三锋不能再跟福耀做生意，收购完以后就没有新的生意往来了[s34]。
这场收购是福耀传承大业迈出的实质性一步[s34]。它把接班人的个人资产与上市公司彻底切割，把潜在的治理隐患消弭于交接之前——这正是曹德旺式的制度安排：先搭好安全垫，再交权。值得注意的是，收购完成后曹晖并未止步于汽配。2018年8月，他创办福建三锋投资集团有限公司并任董事长，主导产业链延伸，构建玻璃生产、汽车铝饰件与玻璃总成供应的全流程能力[s1][s39]。2019年，福耀又以5882万欧元收购德国SAM铝饰件公司，切入铝亮饰条市场，与三锋的饰件业务形成“玻璃+铝饰条”打包销售的新模式[s36][s44]。到2025年，整合五年的德国SAM业务实现盈利，福耀已构建起“铝水—合金—模具—铝饰件—车门模块”的完整产业链[s36]。
2018年起，曹晖以副董事长身份全面回归上市公司治理[s39]。回看这三年“出走”，它既是曹晖个人的成人礼，也是曹德旺对儿子的最后一场考试：放手让他飞，看他能不能自己长出翅膀；再用一次公允的并购，把他体面地接回体系。有观察者注意到，曹晖说过一句流传甚广的话——“我不如父亲，因为我培养不出第二个曹晖。”[s6] 这是对父亲的致敬，也是对传承难题最清醒的认知：最难复制的从来不是财富和职位，而是那个在时代里打江山的人本身。
三锋的创业方向，藏着曹晖对汽车产业的独立判断。他没有去做第二块汽车玻璃，而是选择了福耀主业之外的缝隙：维修后市场的配件服务、模具与设备制造、汽车铝饰件和玻璃总成[s8][s9]。维修后市场（AM市场）与整车配套（OEM）是两套完全不同的生意逻辑——OEM讲究规模、认证和长期绑定，AM讲究渠道、响应速度和终端覆盖；福耀作为主机厂一级供应商，不适合亲自下场做分散的零售网络，而三锋恰好补上了这块拼图[s8]。这次创业也让曹晖第一次完整经历了“从零到一”：注册公司、组建团队、建工厂、跑客户、管现金流，所有决策由他独立承担，集团的庇护被主动撤去。
曹德旺对这场“出走”的态度，远比外界想象的复杂。他一方面公开承认儿子想证明自己的合理性，另一方面也曾在接受《新京报》等媒体采访时流露出焦急，甚至说“儿子不来当董事长，叫我一个老头子怎么办”，并托朋友去做曹晖的工作[s34][s6]。但他没有动用家长权威强令儿子回归，而是选择了等待和制度安排：先让三锋与福耀保持正常的关联交易并充分披露，再在时机成熟时用上市公司合规并购的方式把三锋纳入体系，既保全了曹晖创业的体面，也为接班扫清了治理障碍[s8][s9]。这场“先放后收”的父子博弈，后来被很多家族企业研究者视为传承安排的范本。
值得一提的是，三锋并入福耀后并未被边缘化，而是成为福耀向汽车饰件延伸的桥头堡：它带来的模具、冲压件和饰件能力，与2019年收购的德国SAM铝饰件业务结合，逐步长成了福耀的第二增长曲线——到2025年，铝饰条业务年收入约47.4亿元并首次实现营业利润转正[s36]。曹晖独立创业时“不做玻璃、做生态”的探索，最终以产业链延伸的方式回到了福耀的版图里。这也印证了曹德旺当年的判断：这个儿子不盲从，但他走的每一步，最终都指向同一件事——把福耀做强。

**English:** In July 2015 Cao Hui stepped down as general manager of Fuyao Glass, and from August that year he became vice chairman.[s39][s3] On November 16 that year, Fujian Sanfeng (Triplex) Holding Group Co., Ltd. was established, with Cao Hui as legal representative; its business focused on mold technology, equipment manufacturing, auto-parts development, new-materials applications and automotive-glass parts services, with its main direction being the automotive repair aftermarket and the high-end auto-parts supply chain.[s8][s10][s36]

The emergence of the "Sanfeng" family of companies gave the outside world its first clear view of the logic behind Cao Hui's departure. A 2017 investigative report by the Economic Observer quoted a Fuyao insider: "Young Mr. Cao really is starting a business; more precisely, the field is the automotive repair aftermarket." Fuyao's core business is a B2B model, supplying automakers directly; the aftermarket means facing retail and consumers directly, with an entirely different business model and a fragmented industry, and Cao Hui wanted to set up new companies to try his hand at it.[s8] In other words, he was not out to build a second Fuyao but to fill in the piece of the map Fuyao did not touch.

Why insist on leaving on the eve of succession? Cao Dewang later laid it out to reporters from the National Business Daily: "Because I started from scratch, Cao Hui had also told me that he wanted to start from scratch himself, to make his own mark, and only then come and take over from me." Cao Hui's stance for a time was, "Father, you're still young; when you no longer run things, I'll come and take over."[s7] There was in this a powerful drive to prove his own ability—a man whose every step from the age of nineteen had been arranged by his father needed an examination wholly detached from the family platform. In June 2018 Cao Dewang stated clearly to the media that Cao Hui had "agreed to take over from start to finish," and that "beforehand he had simply wanted to go out and found his own business."[s7]

Sanfeng's report card was solid. Fuyao Glass's 2016 annual report showed the company had related-party transactions with a number of "Sanfeng" companies—Fujian Sanfeng Machinery Technology, Fujian Sanfeng Auto Trim, Fujian Sanfeng Auto Service and others—all controlled by Cao Hui.[s8] According to Haibao News, Fuyao Glass's 2017 data showed Sanfeng Group with total assets of 607 million yuan, annual operating revenue of 729 million yuan and net profit of 53.5218 million yuan.[s6] From its founding at the end of 2015 to 2017, it reached hundreds-of-millions-level revenue and stable profitability within about two years; Cao Hui had proven that he could succeed without the label "Cao Dewang's son."

But the related-party transactions also became an institutional obstacle on the road to succession. Sanfeng was highly synergistic with Fuyao's core business, acting as both supplier and customer, and as long as Cao Hui was outside running Sanfeng, his return to head the listed company would inevitably invite suspicions of interest transfer. Cao Dewang's solution was clean and decisive: buy Sanfeng back. On June 26, 2018, Fuyao Glass announced that its wholly owned subsidiary Fuyao (Hong Kong) Co., Ltd. would acquire 100% equity of Fujian Sanfeng Holding Group held by Sanfeng Holding Management Co., Ltd. for 224 million yuan.[s9][s10] Cao Dewang explained the move to the media without disguise: "This way, when Cao Hui takes over, there won't be any trouble—that's the most important consideration."[s6] He also said that he was in his seventies and needed to clear away these affiliated relationships; Sanfeng could no longer do business with Fuyao, and after the acquisition there would be no new transactions.[s34]

The acquisition was a substantive step in Fuyao's great project of succession.[s34] It cut the successor's personal assets completely away from the listed company and removed the latent governance hazard before the handover—classic Cao Dewang-style institutional arrangement: lay the safety cushion first, then hand over the power. Notably, after the acquisition Cao Hui did not stop at auto parts. In August 2018 he founded Fujian Sanfeng (Triplex) Investment Group Co., Ltd. and served as its chairman, leading the extension of the industrial chain and building full-process capability spanning glass production, automotive aluminum trim and glass-assembly supply.[s1][s39] In 2019 Fuyao then acquired the German aluminum-trim company SAM for 58.82 million euros, entering the aluminum bright-trim market and forming a new "glass plus aluminum trim" bundled-sales model alongside Sanfeng's trim business.[s36][s44] By 2025, the German SAM business, integrated over five years, had turned profitable, and Fuyao had built a complete industrial chain of "aluminum liquid—alloy—molds—aluminum trim—door modules."[s36]

From 2018 Cao Hui returned comprehensively to the governance of the listed company in his role as vice chairman.[s39] Looking back, the three-year "departure" was both his personal coming-of-age and Cao Dewang's final examination of his son: let him fly and see whether he could grow wings of his own; then use a fair acquisition to bring him back into the system with dignity. Observers noted a widely circulated remark of Cao Hui's: "I am not my father's equal, because I could never bring up a second Cao Dewang."[s6] It is a tribute to his father and also the clearest-eyed recognition of the problem of succession: what is hardest to replicate is never wealth or position but the person who conquered an era in person.

The direction of Sanfeng's entrepreneurship concealed Cao Hui's independent judgment of the auto industry. He did not make a second sheet of automotive glass but chose the interstices beyond Fuyao's core: parts services for the aftermarket, mold and equipment manufacturing, automotive aluminum trim and glass assemblies.[s8][s9] The aftermarket (AM) and original-equipment supply (OEM) obey two entirely different business logics—OEM hinges on scale, certification and long-term binding, while AM hinges on channels, response speed and terminal coverage; Fuyao, as a tier-one supplier to the automakers, was ill suited to personally run a dispersed retail network, and Sanfeng happened to complete that piece of the puzzle.[s8] The venture also let Cao Hui go through "zero to one" completely for the first time: registering companies, assembling teams, building plants, chasing customers, managing cash flow, with every decision resting on his own shoulders and the group's shelter deliberately withdrawn.

Cao Dewang's attitude to the "departure" was far more complex than outsiders imagined. He publicly acknowledged the legitimacy of his son's wish to prove himself, but in interviews with media including The Beijing News he also showed anxiety, even saying "if my son won't come and be chairman, what is an old man like me to do," and asked friends to work on Cao Hui.[s34][s6] Yet he did not invoke paternal authority to order his son back; he chose to wait and to arrange institutions—first letting Sanfeng maintain normal, fully disclosed related-party transactions with Fuyao, then, when the time was ripe, bringing Sanfeng into the system through a compliant, listed-company acquisition, preserving the dignity of Cao Hui's entrepreneurship while clearing the governance obstacles to succession.[s8][s9] This father-son contest of "first release, then retrieval" has since been regarded by many family-business researchers as a model succession arrangement.

It is worth noting that after being merged into Fuyao, Sanfeng was not marginalized but became Fuyao's bridgehead into automotive trim: the mold, stamping and trim capabilities it brought, combined with the German SAM aluminum-trim business acquired in 2019, grew into Fuyao's second growth curve—by 2025 the aluminum-trim business had annual revenue of about 4.74 billion yuan and turned operating profit positive for the first time.[s36] Cao Hui's independent-venture exploration of "not glass but an ecosystem" ultimately returned to Fuyao's map in the form of industrial-chain extension. It also bore out Cao Dewang's judgment all along: this son does not follow blindly, yet every step he takes ultimately points to the same thing—making Fuyao stronger.

### 5. 美国工厂：铁锈地带的跨洋实验 / American Factory: A Transocean Experiment in the Rust Belt

福耀走向全球制造的标志之作，是俄亥俄州代顿的那座工厂，也是曹晖北美经验结出的最大果实。2008年金融危机中，通用汽车关闭了位于代顿莫瑞恩的装配厂，上万名工人失业，当地失业率一度高达12.5%，这座“铁锈地带”的旧厂房一闲置就是六年[s42][s17]。2013年福耀宣布在美建厂计划，2014年1月果断买下这座旧厂房——购入价约1500万美元，随后累计投入约6亿美元改造，总占地675亩、厂房约17万平方米[s38][s16]。2014年7月，福耀又收购PPG在伊利诺伊州芒山的两条始建于1959年的旧浮法生产线，2016年6月完成改造全线投产，日熔化量各600吨，为代顿工厂供应原片[s18][s17]。
2015年7月23日，代顿工厂生产的首片汽车挡风玻璃下线，被当地卡里林历史博物馆永久收藏，陈列在通用工厂七年前生产的最后一辆汽车旁边；莫瑞恩市政府还把工厂所在路段命名为“福耀大道”[s17]。2016年10月7日，代顿工厂正式竣工投产，俄亥俄州州长约翰·卡西奇到场致辞，称福耀的投资将改善两千多个家庭的生活。工厂当时已雇佣两千多名员工，计划年产逾450万套汽车玻璃，为美国汽车市场提供约四分之一的玻璃配套[s16]。
这是中国汽车零部件企业当时规模领先的对美投资，也是两种工业文明的短兵相接。冲突很快暴露：美国工人时薪从原来通用的约29美元降到福耀初期的12到14美元，心理落差巨大；生产线布局过密、车间温度高、设备维修未断电上锁、防护规范差异等安全问题，引来美国职业安全与健康管理局（OSHA）介入，2016年开出约22.6万美元罚单，后经和解降至10万美元，工厂配合整改[s42][s19]。语言不通、操作界面只有中文、节奏与加班文化的差异，让中美员工之间摩擦不断[s19][s41]。
高潮是工会之争。全美汽车工人联合会（UAW）在工厂附近租办公室动员工人，2017年10月签卡人数越过30%门槛，投票定于11月。纪录片《美国工厂》记录了这场博弈，曹德旺在片中态度强硬，称“工会进来，我关门不做了”[s20]。2017年11月，全国劳资关系委员会主持的投票结果揭晓：868票反对、444票赞成，福耀员工否决了成立工会的动议[s20][s42]。此后福耀持续涨薪、改善管理，工厂在磨合中逐渐走上正轨。
2019年8月，由奥巴马夫妇创立的高地制片公司与Netflix合作出品的纪录片《美国工厂》（American Factory）上映，以代顿工厂为拍摄对象，把中美工厂文化的碰撞、劳资关系与全球化的代价摊在全世界观众面前[s21][s41]。2020年2月，该片获得第92届奥斯卡最佳纪录长片奖[s21]。福耀和曹德旺由此成为全球谈论中美制造业时绕不开的名字。值得说明的是，影片的核心人物是曹德旺与福耀美国管理团队；曹晖当时担任集团总经理，是美国项目的核心决策者与北美业务的资深操盘者，他十余年的北美履历与代顿工厂的选址、建设和运营决策深度交织[s1][s16][s5]。
数字最终说明了这场实验的价值。代顿工厂投产首年即实现盈利，2017年福耀美国整体扭亏为盈[s21][s44]。此后持续增资：2022年福耀对福耀美国增加投资6.5亿美元，其中3亿美元用于镀膜、钢化夹层边窗等生产线扩建，3.5亿美元投向伊利诺伊州一窑两线浮法及太阳能背板玻璃深加工项目[s21]；2025年3月，公司再披露追加4亿美元，在伊利诺伊州建设一条汽车级浮法玻璃生产线，提升原材料自给率[s21]。曹晖为北美确立的策略是“就地造、就地卖”，把原材料本地化率推高至85%，以应对关税和供应链新规则[s48]。2025年，福耀美国子公司实现营收79.17亿元，同比增长25.43%，净利润8.84亿元，同比增长40.91%，北美市占率攀升至30%以上[s5][s48]。一座废弃八年的厂房，最终长成了美国本土领先的汽车玻璃生产基地和福耀穿越关税周期的战略缓冲带[s38]。
纪录片留下了大量耐人寻味的细节。曾在厂里担任翻译的当地华人观察到，中国工人占比不高却支撑起工厂的大体框架，“非常勤劳、肯干、踏实，而且非常好管理”；而部分美国工人则对工作时长、车间温度和安全标准颇有怨言，一位在通用汽车干了十五年、从未受过伤的美国工人，在福耀的车间里伤了脚[s41][s42]。镜头之外，福耀的调整是务实的：涨薪、引入自动化设备降低人力依赖、改造生产线以适应美国工人的操作习惯、把操作界面从中文改成英文[s42][s19]。到2019年工厂年产汽车玻璃约450万套，占北美市场约四分之一，一些美国工人开始自发学习中文，车间里挂起中英文双语的安全标语[s16]。
《美国工厂》的奥斯卡加冕，让这场实验超出了商业范畴。影片2019年8月在圣丹斯电影节首映后由Netflix全球发行，成为奥巴马夫妇高地制片公司的首部作品；2020年2月9日，第92届奥斯卡将最佳纪录长片奖颁给它[s21][s42]。福耀没有把这部不乏尖锐镜头的纪录片视作危机公关，而是以开放姿态面对——曹德旺本人就是片中主角，他那句“工会进来，我关门不做了”被完整保留[s20]。这种“让世界自己看”的底气，与二十年前反倾销案中“在规则里打规则”的逻辑一脉相承：福耀不怕被审视，它相信事实和结果会说话。
曹晖与这座工厂的关系，需要放在他完整的北美履历中理解。从1996年派驻南卡罗来纳州的绿榕公司，到2001年执掌福耀北美、打赢反倾销，再到2006年出任集团总经理后主导美国投资决策，他在北美市场浸泡了整整十三年[s39][s1]。代顿工厂所嵌入的底特律汽车产业带、所面对的劳工法律环境、所依托的经销商网络，正是他在漫长驻外岁月中一点点摸清的。工厂投产前后他虽已回国主政，但从选址逻辑到“就地造、就地卖”的供应链策略，处处可见其北美经验的影子[s5][s48]。2026年，当福耀北美市占率突破三成、美国子公司净利润同比增长逾四成时，这场始于反倾销法庭、成于代顿厂房的全球化长跑，终于交出了完整的答卷[s5]。

**English:** The signature work of Fuyao's move into global manufacturing was the plant in Dayton, Ohio, and it is also the largest fruit of Cao Hui's North American experience. In the 2008 financial crisis General Motors closed its assembly plant in Moraine, Dayton; more than ten thousand workers lost their jobs, local unemployment at one point reached 12.5%, and the old factory building in this part of the Rust Belt sat idle for six years.[s42][s17] In 2013 Fuyao announced its American factory plan, and in January 2014 it decisively bought the old plant—the purchase price was about US$15 million, followed by a cumulative investment of roughly US$600 million in renovation, across a total site of 675 mu (about 45 hectares) with roughly 170,000 square meters of factory space.[s38][s16] In July 2014 Fuyao also acquired from PPG two old float-glass production lines in Mt. Zion, Illinois, originally built in 1959; their renovation was completed and they went into full operation in June 2016, each with a daily melting capacity of 600 tonnes, supplying raw glass to the Dayton plant.[s18][s17]

On July 23, 2015, the first automotive windshield produced at the Dayton plant came off the line and was permanently acquired by the local Carillon Historical Park museum, displayed beside the last car that the GM factory had produced seven years earlier; the city of Moraine also named the road by the plant "Fuyao Avenue."[s17] On October 7, 2016, the Dayton plant was formally completed and went into production; Ohio Governor John Kasich attended to give a speech, saying Fuyao's investment would improve the lives of more than two thousand families. The plant already employed over two thousand workers, with a planned annual capacity of more than 4.5 million sets of automotive glass, supplying roughly a quarter of the glass for the American auto market.[s16]

This was the largest investment in the United States by a Chinese auto-parts enterprise at the time, and it brought two industrial civilizations into close quarters. Conflicts surfaced quickly: American workers' hourly pay fell from the roughly US$29 they had earned at GM to US$12-14 at Fuyao in the early period, an enormous psychological gap; safety issues such as production lines packed too densely, high shop-floor temperatures, equipment maintenance performed without power lockout, and differing protective standards drew in the U.S. Occupational Safety and Health Administration (OSHA), which in 2016 issued fines of about US$226,000, later reduced through settlement to US$100,000, with the plant cooperating in rectification.[s42][s19] Language barriers, operating interfaces in Chinese only, and differences in pace and overtime culture produced constant friction between Chinese and American employees.[s19][s41]

The climax was the union fight. The United Auto Workers (UAW) rented an office near the plant to mobilize workers, and in October 2017 the number of signed cards crossed the 30% threshold, with a vote set for November. The documentary American Factory recorded this contest; in the film Cao Dewang took a hard line, saying, "If the union comes in, I'll shut the doors and stop doing business."[s20] In November 2017 the vote supervised by the National Labor Relations Board produced its result: 868 against, 444 in favor, and Fuyao's employees rejected the proposal to form a union.[s20][s42] Afterwards Fuyao kept raising pay and improving management, and the plant gradually found its footing through a grinding give-and-take of mutual adjustment.

In August 2019, the documentary American Factory, produced by Higher Ground Productions—founded by Barack and Michelle Obama—in partnership with Netflix, was released; taking the Dayton plant as its subject, it laid the collision of Chinese and American factory cultures, labor relations and the price of globalization before audiences worldwide.[s21][s41] In February 2020 the film won the Academy Award for Best Documentary Feature at the 92nd Oscars.[s21] Fuyao and Cao Dewang thereby became names impossible to avoid whenever the world discussed Chinese and American manufacturing. It should be noted that the film's central figures are Cao Dewang and Fuyao's American management team; Cao Hui, then serving as the group's general manager, was a core decision-maker on the American project and a seasoned operator of the North American business, and his more than a decade of North American record is deeply interwoven with the Dayton plant's siting, construction and operating decisions.[s1][s16][s5]

The numbers ultimately explained the value of this experiment. The Dayton plant turned a profit in its very first year of production, and in 2017 Fuyao's American operation as a whole moved from loss into profit.[s21][s44] Investment kept increasing thereafter: in 2022 Fuyao added US$650 million to Fuyao America, US$300 million of it for expanding coated and tempered laminated side-window lines and US$350 million for an Illinois float-glass and solar-backglass deep-processing project built around one furnace and two lines;[s21] and in March 2025 the company disclosed a further US$400 million to build an automotive-grade float-glass line in Illinois, raising raw-material self-sufficiency.[s21] The strategy Cao Hui set for North America was "make locally, sell locally," pushing the local-content rate of raw materials up to 85% in order to meet tariffs and new supply-chain rules.[s48][s5] In 2025 Fuyao's U.S. subsidiary achieved revenue of 7.917 billion yuan, up 25.43% year on year, and net profit of 884 million yuan, up 40.91%, with North American market share climbing above 30%.[s5][s48] A plant building abandoned for eight years ultimately grew into the largest automotive-glass production base on American soil and a strategic buffer that carries Fuyao through tariff cycles.[s38]

The documentary left behind a great many suggestive details. Local Chinese who had worked as translators in the plant observed that the Chinese workers, though a small proportion, held up the plant's broad framework—"extremely hardworking, willing, steady, and very easy to manage"; while some American workers complained about working hours, shop-floor temperatures and safety standards, and one American worker who had spent fifteen years at General Motors without injury hurt his foot in Fuyao's workshop.[s41][s42] Off camera, Fuyao's adjustments were pragmatic: raising pay, introducing automated equipment to reduce dependence on labor, reworking production lines to suit American workers' operating habits, and changing the operating interfaces from Chinese into English.[s42][s19] By 2019 the plant was producing roughly 4.5 million sets of automotive glass a year, about a quarter of the North American market; some American workers began learning Chinese of their own accord, and bilingual Chinese-English safety banners went up in the workshop.[s16]

The Oscar coronation of American Factory lifted the experiment beyond commerce. After premiering at the Sundance Film Festival in August 2019, the film was distributed globally by Netflix and became the first release of the Obamas' Higher Ground Productions; on February 9, 2020, the 92nd Academy Awards gave it the prize for best documentary feature.[s21][s42] Fuyao did not treat this documentary, with its not-always-flattering footage, as a crisis-PR problem but faced it openly—Cao Dewang himself is the film's protagonist, and his line "if the union comes in, I'll shut the doors" was kept in full.[s20] This confidence in "letting the world see for itself" is of one logic with the "fighting the rules within the rules" approach of the anti-dumping case twenty years earlier: Fuyao does not fear scrutiny; it trusts facts and results to speak.

Cao Hui's relationship with this plant must be understood within his complete North American record. From his posting to Greenville Glass in South Carolina in 1996, to heading Fuyao North America and winning the anti-dumping cases in 2001, to leading the American investment decision after becoming group general manager in 2006, he was immersed in the North American market for thirteen whole years.[s39][s1] The Detroit automotive industrial belt into which the Dayton plant was embedded, the labor-law environment it faced, and the dealer network it relied on were all things he had mapped out piece by piece across long years abroad. Around the plant's start-up he had already returned to headquarters to lead, yet from the siting logic to the "make locally, sell locally" supply-chain strategy, the shadow of his North American experience is everywhere visible.[s5][s48] In 2026, when Fuyao's North American share broke through thirty percent and its American subsidiary's net profit rose more than forty percent year on year, this long-distance globalization run—begun in an anti-dumping courtroom and brought to fruition in the Dayton plant hall—finally delivered its complete answer.

产业链延伸上，铝饰件成为第二增长曲线。2018年福耀收购曹晖创办的三锋集团，切入汽车饰件、模具与冲压件，为进入铝饰件和车门模块业务奠定基础[s36]；2019年，公司以5882万欧元收购德国破产企业SAM铝饰件公司，进入德国铝亮饰条市场[s36][s44]。经过五年整合，FYSAM业务于2025年实现盈利，福耀由此构建起“铝水—合金—模具—铝饰件—车门模块”的完整链条[s36]。2023年，福耀在北美设立资产持有公司，持有墨西哥FYSAM汽车饰件公司股权，把铝饰件产能带到北美客户身边[s44]。
国内布局的重头戏是合肥。2024年1月签约、6月开工的福耀玻璃合肥全产业链生产基地，占地866亩、总投资57.5亿元，2025年6月首片玻璃下线，同年8月第一百万套汽车玻璃投产，从签约到投产仅一年多，跑出被称为“福耀速度”的节奏；2025年底产能已达200万套，2026年计划形成年产400万套规模，最终目标500万套，关键工序自动化率超过90%[s35]。这一基地客户覆盖比亚迪、奇瑞、大众、蔚来、上汽、华为、长安、江淮等品牌，2025年福耀在安徽市场占有率达77%[s35]。
海外产能则向欧美两翼铺开。2024年5月，福耀在匈牙利成立福耀（东欧）有限责任公司，匈牙利工厂于2025年末投产，欧洲市场目标市占率从21%提升至40%[s37][s44]；墨西哥工厂与美国二期产能同步爬坡，研报预计2027年墨西哥、匈牙利工厂全面投产后，福耀将实现对全球主要汽车市场的全覆盖[s37][s5]。至此，福耀在中国18个省区市及海外十余个国家建立起34个主要生产基地，形成“中国总部、海外制造枢纽”的双循环格局[s38][s43]。
技术产品上，曹晖推动福耀把玻璃从“安全件”重新定义为智能座舱的“交互界面”。智能全景天幕、可调光玻璃（电致变色）、HUD与AR-HUD抬头显示玻璃、5G天线玻璃、GNSS天线玻璃、智眸激光雷达前挡、与隆基绿能联合研发的光伏车顶等产品相继量产或上车：特斯拉Cybertruck全系标配的电致变色天幕玻璃由福耀独家供货，比亚迪仰望U8的AR-HUD风挡玻璃同样来自福耀[s48][s5]。2025年，高附加值产品收入占比达54.2%，单车玻璃价值量被持续抬高[s37]。
这七年并非一帆风顺。2024年7月，福耀美国代顿工厂遭遇美国联邦政府机构与执法人员上门搜查，事件引发外界对“脱钩”风险的担忧；公司配合调查、工厂随后复产，美方最终未动摇福耀在北美的经营基本盘[s21][s20]。这段插曲也让曹晖主导的“就地造、就地卖”与多地产能布局，在后来的关税周期中显出价值——当2026年曹德旺在股东会上放话“不赚钱绝对不做，大不了关掉美国工厂”时，福耀的底气正来自俄罗斯、欧洲、墨西哥与中国本土可以互相调剂的产能网络[s38][s48]。

**English:** After his full return to the governance of the listed company in 2018, Cao Hui entered a seven-year succession-preparation period as vice chairman. During this time Fuyao's map expanded at speed along the axis of "global manufacturing plus the full industrial chain," and Cao Hui was the driving force behind many of the key placements.

In industrial-chain extension, aluminum trim became the second growth curve. In 2018 Fuyao acquired the Sanfeng Group founded by Cao Hui, entering automotive trim, molds and stamping parts and laying the foundation for moving into aluminum trim and door-module businesses;[s36] in 2019 the company acquired the bankrupt German aluminum-trim firm SAM for 58.82 million euros, entering the German aluminum bright-trim market.[s36][s44] After five years of integration, the FYSAM business turned profitable in 2025, and Fuyao thereby built a complete chain running from aluminum liquid and alloy through molds and aluminum trim to door modules.[s36] In 2023 Fuyao set up an asset-holding company in North America holding equity in the Mexican FYSAM automotive-trim company, bringing aluminum-trim capacity close to its North American customers.[s44]

The centerpiece of the domestic layout was Hefei. The Fuyao Glass Hefei full-industrial-chain production base, signed in January 2024 and begun in June, covers 866 mu with a total investment of 5.75 billion yuan; its first sheet of glass came off the line in June 2025, and its one-millionth set of automotive glass went into production that August—little more than a year from signing to production, in a rhythm called "Fuyao speed"; by the end of 2025 capacity had reached 2 million sets, the plan for 2026 is an annual scale of 4 million sets, and the ultimate target is 5 million, with the automation rate of key processes exceeding 90%.[s35] The base's customers cover brands including BYD, Chery, Volkswagen, NIO, SAIC, Huawei, Changan and JAC, and in 2025 Fuyao's market share in Anhui reached 77%.[s35]

Overseas capacity spread to both the European and American wings. In May 2024 Fuyao established Fuyao (Eastern Europe) Co., Ltd. in Hungary; the Hungarian plant went into production at the end of 2025, and the target market share in Europe is to rise from 21% to 40%;[s37][s44] the Mexican plant and the U.S. phase-two capacity are ramping in step, and brokerage research expects that, once the Mexican and Hungarian plants are fully in operation in 2027, Fuyao will have achieved full coverage of the world's major automotive markets.[s37][s5] By this point Fuyao had built 34 major production bases across 18 provinces, autonomous regions and municipalities in China and more than ten countries overseas, forming a dual-circulation pattern of "headquarters in China, manufacturing hubs overseas."[s38][s43]

In technology and products, Cao Hui pushed Fuyao to redefine glass from a "safety part" into the "interactive interface" of the smart cabin. Products such as the intelligent panoramic roof, dimmable (electrochromic) glass, HUD and AR-HUD head-up-display glass, 5G antenna glass, GNSS antenna glass, the Zhimou lidar front windshield, and the photovoltaic roof co-developed with LONGi Green Energy successively went into mass production or onto vehicles: the electrochromic panoramic-roof glass fitted across the Tesla Cybertruck range is supplied exclusively by Fuyao, and the AR-HUD windshield of the BYD Yangwang U8 likewise comes from Fuyao.[s48][s5] In 2025 the revenue share of high-value-added products reached 54.2%, and the glass value per vehicle was steadily raised.[s37]

These seven years were not all plain sailing. In July 2024 Fuyao's Dayton plant in the United States was searched on site by U.S. federal-government agencies and law-enforcement personnel, an incident that stirred outside anxiety over "decoupling" risk; the company cooperated with the investigation, the plant later resumed production, and the American side ultimately did not shake Fuyao's fundamental operating base in North America.[s21][s20] The episode also showed the value, in the later tariff cycle, of the "make locally, sell locally" approach and multi-site capacity layout that Cao Hui had led—when Cao Dewang declared at the 2026 shareholders' meeting that "if it doesn't make money, I absolutely won't do it; if the worst comes to the worst, shut down the American factory," Fuyao's confidence rested on a capacity network spanning Russia, Europe, Mexico and China proper that could be adjusted among regions.[s38][s48]

On the personal level, Cao Hui kept a founder's caution. As chairman taking over a hundred-billion-yuan enterprise, his holding in the listed company was only about 0.46%, and his 2025 pre-tax compensation was 1.6195 million yuan—far below the 7.7619 million yuan paid to his father Cao Dewang; control of the company was maintained principally through the Cao family's shareholding platforms such as Sanyi Development and through governance arrangements.[s40][s22] This arrangement is of one piece with Cao Dewang's overall design: the family holds the strategic direction, a professional-manager team supports day-to-day operations, and the heir establishes authority through capability rather than equity.

The role Cao Hui played inside the company after his return can be summed up as "a reformer who knows the business." He did not issue commands on the strength of being the founder's son but carried on the methodology of his general-manager years: going deep into the production lines, speaking through data, and refining management in detail. The advancement of the Hefei base is one example—this Anhui full-industrial-chain base, planned under his leadership, went from signing and groundbreaking to production of its one-millionth set in little more than a year, with the automation rate of key processes above 90%, and AI visual inspection giving each sheet of glass a "check-up" at a pixel precision of 0.05 millimeters, a rehearsal in a local plant of his "Digital Fuyao" thinking.[s35][s5] He also carried on his sensitivity to new-technology products: 5G antenna glass, GNSS antenna glass, coated heat-insulating glass, large panoramic sunroofs and the like mostly moved from R&D to mass production in this period.[s6]

In global layout, during his vice-chairmanship he completed the last pieces of Fuyao's "nearby-supply" network. To the east, the Hungarian plant was set up in 2024 and went into production at the end of 2025, facing European automakers directly and lifting target share from 21% toward 40%;[s37][s44] to the west, the Mexican plant took on North American supply demand, above all for Tesla, forming a North American production triangle with the Dayton and Illinois bases;[s37][s48] to the south, Southeast Asian bases such as Indonesia advanced, serving Japanese automakers and regional markets.[s43] The strategic value of this network emerged in the tariff frictions of 2026: when the policy environment changed, Fuyao could flexibly shift orders and capacity among China, the United States, Europe, Mexico and Russia rather than being gripped at the throat by a single production location.[s38]

In research and products, Cao Hui led glass's leap from "safety part" to "functional part, energy part and interactive part." Fuyao co-developed the photovoltaic roof with LONGi Green Energy, turning glass into a power-generating "energy part"; electrochromic roofs, AR-HUD windshields, lidar windshields, Mini-LED roofs and other products successively entered the supply chains of mainstream automakers such as Tesla and BYD.[s5][s48] In 2025 high-value-added products reached 54.2% of revenue, and that same year Fuyao's intelligent-glass technical standards were incorporated into the ISO international revision, adding twelve indicators including lidar wave-transmission rate and electromagnetic shielding.[s37][s48] A traditional glass industry once seen as "low-technology and asset-heavy" began, in his hands, to command the pricing power of high-tech components—the value of glass per vehicle, traditionally around 600 yuan, is being pushed toward a target of 3,000 to 5,000 yuan.[s37]

### 7. 接棒与“二次创业”：数字福耀与智能光学 / The Handover and the 'Second Entrepreneurship': Digital Fuyao and Intelligent Optics

2025年10月16日晚，福耀玻璃发布公告：因推动公司治理结构战略性优化与可持续发展的需要，董事长曹德旺提交辞任报告，公司第十一届董事局第十次会议选举曹晖为董事长，同时担任法定代表人及董事局战略发展委员会主任；曹德旺被委任为终身荣誉董事长[s2][s46][s3]。曹德旺本届董事长任期原本要到2027年1月才结束，交棒提前了一年多[s5][s34]。面对媒体，七十九岁的老人说得直白：“我80岁了，该退休了。我是想，退下来对福耀更有好处，让新一代人（去接手）。”[s4] 公告同时披露，2025年前三季度公司营收333亿元、同比增长17.62%，净利润70.64亿元、同比增长28.93%，曹晖接手的是一台高速运转的机器[s4]。
2026年3月17日，福耀发布2025年年报，这是曹晖任董事长后的第一份年度成绩单：全年营业收入457.87亿元，同比增长16.65%；归母净利润93.12亿元，同比增长24.20%；基本每股收益3.57元，经营活动现金流净额120.55亿元，三项核心指标均创历史新高[s22][s23][s40]。全年汽车玻璃销售1.6918亿平方米，同比增长8.54%，按每辆车4.2平方米折算，相当于装配了4028万辆汽车[s22]；全年现金分红54.80亿元，占归母净利润的58.85%[s40]。
比数字更值得注意的是年报里那封数千字的董事长致辞。曹晖宣布：2026年福耀迎来创业50周年，将开启“二次创业”，第一条就是“数字与智能双轮驱动，开启‘二次创业’”——全面深化数字化与智能化转型，重塑生产与管理模式，打造真正意义上的“数字福耀”；同时向内深潜、向管理要效益，推动全价值链精益化与智能化升级[s23][s24]。他在2025年10月与北汽集团董事长张建勇座谈时首次对外定调：“福耀坚守‘当好汽车工业配角’的定位，不断延伸产业链，自主攻克原材料、生产设备等‘卡脖子’难题。”[s5]
“数字福耀”的落点具体而清晰。福耀提出构建“业务专家+AI应用专家”双轨融合的人才体系，把人工智能深度嵌入研发设计、生产管理、市场分析与客户服务；以福清绿色智慧工厂为样板推进“黑灯工厂”建设，为每一片玻璃建立“数字身份证”，应用数字孪生仿真平台使产品研发周期缩短30%以上[s5][s36]。战略目标上，公司规划到2030年全球市占率从2025年的约37%提升至45%以上，国内保持70%以上；高附加值产品收入占比从54.2%向2027年60%、2030年75%推进，推动单车玻璃价值从传统的约600元向3000至5000元升级，把福耀从“全球汽车玻璃供应商”重塑为“汽车智能光学系统解决方案商”[s37][s36]。2026年公司计划总资金需求498.62亿元，其中77.3亿元用于资本开支，重点投向数字化转型[s36]。
新战略在2026年迎来第一次压力测试。上半年福耀实现营业收入219.71亿元，同比增长2.44%，在国内汽车产销同比下降约4%的行业背景下跑赢大盘；但归母净利润39.70亿元，同比下降17.37%——下滑主因是汇兑损益剧烈波动，当期汇兑损失8.03亿元，而上年同期为汇兑收益6.02亿元，一正一反形成约14亿元差额；若扣除汇兑因素，利润总额实际同比增长约4.78%[s25][s45]。同期高附加值产品收入占比较上年再升8.03个百分点，汽车玻璃毛利率提升1.55个百分点，主业“技术溢价”的逻辑仍在兑现[s25]。曹晖面对的，正是一家成熟龙头在汇率周期与产业变革交汇处的典型难题。
支撑战略转型的，是长期不吝投入的研发体系。2025年福耀研发投入合计19.13亿元，同比增长14.03%，占营业收入的4.18%，且全部费用化处理；近十年公司累计研发投入超过88亿元，拥有专利逾4000件[s23][s38]。技术弹药转化为产品结构：智能全景天幕、可调光、抬头显示、超隔绝、镀膜可加热等高附加值产品收入占比升至54.2%，汽车玻璃销售收入418.89亿元、占总营收九成以上[s22][s23]。客户结构同样稳固，福耀已进入全球前二十大车企供应链、国内主机厂覆盖率接近百分之百，为特斯拉供应约七成汽车玻璃、覆盖Model 3、Model Y与Cybertruck等主力车型，比亚迪全系玻璃由福耀主供，全球份额约三成五[s38][s44]。当玻璃从安全件变成承载显示、调光、通信、发电功能的智能交互界面，曹晖押注的“技术溢价”逻辑正在兑现。
外部环境的风浪也在接班后接踵而至。2026年4月21日，福耀在福州召开2025年度股东会，已卸任董事长的曹德旺现身，面对投资者关于美国加征关税的提问，他依旧是那个强硬的“玻璃大王”：“你要征多少税是你的事”，“我如果不赚钱绝对不做”，“如果遇到不讲道理的情况，大不了我就把（美国）工厂关掉”[s38]。狠话的底气来自进退自如的布局：福耀在中国18个省区市及海外13国共设有34个主要生产基地，美国之外，墨西哥、匈牙利、德国、俄罗斯产能梯次展开，必要时北美供应可经美墨加协定的零关税通道由墨西哥转接[s38][s43]。同一场股东会上，曹德旺把经营层面的问题留给儿子：董事长管战略，决定做什么、做到什么程度，具体执行交给经营团队；他同时再次公开评价曹晖“干得比我强”[s38]。一放一接之间，父子两代在治理上的分工已然清晰。
2026年5月，他以福耀董事长身份出现在人民大会堂国宴，与马斯克、黄仁勋、库克同席[s31][s33]。统战系统媒体评论说，鲁伟鼎和曹晖的座次，藏着中国制造“嵌入”美国实体经济的密码：一个是万向集团鲁冠球之子、深耕美国数十年的汽车零部件二代，一个是在通用旧址上雇佣两千多名美国工人的福耀新掌门[s32]。对曹晖而言，这张座位图更像一道时间的闭环——1989年车间里那个搬玻璃的学徒，三十七年后作为中美产业共生关系的象征，坐到了全球科技巨头身边。

**English:** On the evening of October 16, 2025, Fuyao Glass issued an announcement: out of the need to drive the strategic optimization of the company's governance structure and its sustainable development, Chairman Cao Dewang had submitted his resignation, and the tenth meeting of the company's eleventh board of directors elected Cao Hui as chairman, while he also took on the role of legal representative and chairman of the board's strategic-development committee; Cao Dewang was appointed honorary chairman for life.[s2][s46][s3] Cao Dewang's current term as chairman had originally been due to run until January 2027, so the handover came more than a year early.[s5][s34] Facing the press, the 79-year-old spoke plainly: "I am eighty years old now; it is time for me to retire. My thinking is that stepping down is better for Fuyao—letting the new generation take over."[s4] The announcement also disclosed that in the first three quarters of 2025 the company's revenue was 33.3 billion yuan, up 17.62% year on year, and net profit was 7.064 billion yuan, up 28.93%: what Cao Hui took over was a machine running at high speed.[s4]

On March 17, 2026, Fuyao released its 2025 annual report, the first annual scorecard under Cao Hui's chairmanship: full-year operating revenue of 45.787 billion yuan, up 16.65% year on year; net profit attributable to shareholders of 9.312 billion yuan, up 24.20%; basic earnings per share of 3.57 yuan; and net operating cash flow of 12.055 billion yuan—all three core indicators at all-time highs.[s22][s23][s40] For the year it sold 169.18 million square meters of automotive glass, up 8.54%, equivalent, at 4.2 square meters per vehicle, to fitting out 40.28 million cars;[s22] full-year cash dividends were 5.48 billion yuan, 58.85% of attributable net profit.[s40]

More notable than the figures was the several-thousand-word chairman's letter in the annual report. Cao Hui declared: in 2026, as Fuyao marks the 50th anniversary of its founding, it would launch a "second entrepreneurship," the first item being "the dual-wheel drive of digitalization and intelligence, opening a 'second entrepreneurship'"—comprehensively deepening digital and intelligent transformation, reshaping production and management models, and building a genuine "Digital Fuyao"; at the same time driving inward and asking management for efficiency, pushing lean and intelligent upgrading across the entire value chain.[s23][s24] He had first set the tone externally at his October 2025 symposium with BAIC Group chairman Zhang Jianyong: "Fuyao holds firmly to its positioning as a 'supporting player serving the automotive industry,' continuously extending the industrial chain and independently conquering 'chokepoint' problems in raw materials, production equipment and beyond."[s5]

The landing points of "Digital Fuyao" were concrete and clear. Fuyao proposed building a "dual-track integrated" talent system of "business experts plus AI-application experts," embedding artificial intelligence deeply into R&D and design, production management, market analysis and customer service; taking the Fuqing green smart factory as the model for "lights-out factory" construction; giving each sheet of glass a "digital identity"; and applying digital-twin simulation platforms to shorten product R&D cycles by more than 30%.[s5][s36] On strategic targets, the company planned to raise global market share from roughly 37% in 2025 to over 45% by 2030, while holding above 70% domestically; to push high-value-added products' revenue share from 54.2% toward 60% by 2027 and 75% by 2030; and to lift glass value per vehicle from the traditional roughly 600 yuan to 3,000-5,000 yuan, reshaping Fuyao from a "global automotive-glass supplier" into an "automotive intelligent-optical system solution provider."[s37][s36] For 2026 the company planned total funding needs of 49.862 billion yuan, of which 7.73 billion was for capital expenditure, focused on digital transformation.[s36]
